Welcome to Vban! The following Terms and Conditions (the "Terms") is an agreement between you and TM Payments Limited ("Vban"), a company duly incorporated under the laws of Canada.
In this Agreement, "you" and "your" "user" means the person, entity, business, or company who uses or accesses the Services, regardless of whether you are acting as a Sender or Recipient. "Vban," "we," "us," and "our" all refer to Vban, including its employees, directors, partners, and assignees.
It is important to understand that Vban is not a financial institution. Vban does not itself ever hold your money/funds or your assets. We provide technology that enables you to conduct financial transactions and move money to and from emerging markets through a network of banks, money transmitters, payment service providers, foreign exchange firms, and other partners who we integrate the Platform into in order to provide you with the Services. That said, we may own subsidiaries or have affiliates who are such entities in other countries. Please note that depending on your location, the Service may be provided by a partner of Vban or one of Vban's affiliated companies (Affiliate).
Further note that Vban collects and analyzes (such as for KYC and AML purposes) information provided by Users in connection with the Services. We may at times relay some or all information and data to our partners, including but not limited to banks, payment services platforms, money transmitters, exchanges, regulators, affiliates, accountants, BSA auditors, and others globally. These firms may use such data and information as necessary to perform and fulfill their obligations to the overall Platform, specifically, or more generally for their regulatory and/or operational duties.
The Terms are legally binding and serve to govern your use and access to our website at www.Vban.com and the Vban mobile application (collectively, the "Platform") and features and services which we offer now and/or may be offered in the future, in connection with the Platform (the "Services"), including any content or functionality offered through this Platform or the Services, whether as a guest, registered user or on the authorisation of a user.
PLEASE READ AND UNDERSTAND THESE TERMS AND OUR PRIVACY POLICY CAREFULLY BEFORE AGREEING TO BE BOUND BY THEM.
By registering, using or accessing the Services or any information, resources, services, products, and tools we provide, you represent that you have read, understood and accepted to be bound by these Terms and our Privacy Policy. You also accept and agree that you are solely responsible for understanding and complying with all laws, rules and regulations that may be applicable to your use of the Services. Please note that your use and access to the Services are subject at all times to these Terms and our Privacy Policy. If you do not agree to all the terms and conditions of these Terms and our Privacy Policy, do not use or access the Services.
DEFINITIONSThe definitions and rules of interpretation in this clause apply in this Terms and Conditions.
- Account means any account opened with us and operated by you, through the Platform.
- Business Day means any day on which banks in the US are open for business excluding Saturdays, Sundays and public holidays;
- Card means a prepaid virtual and/or physical card issued by an Issuing Bank, which is branded with one or more marks or signage of a Payment Scheme.
- Issuing Bank means a financial institution that issues payment Cards under the authority of the relevant Payment Scheme.
- Payment Scheme means Visa, Mastercard, Verve and/or any affiliates thereof or any other card payment network and/or such other schemes governing the issue and use of credit, debit, charge, purchase or any other cards or payment methods.
- Local Taxes means any taxes chargeable in the Recipient's country;
- Money Transfer Amount means the specific sum of money transferred to the Recipient through the Platform.
- Merchant means any person or entity to whom you may offer payment through the use of a Card.
- Money Transfer means an electronic transfer of a Money Transfer Amount received by you through the Platform.
- Transaction History means records of Money Transfers which are accessible through the Platform.
- Recipient means you, who receives the money through the use of the Money Transfer Service.
- Recipient's Country means the country from where a Recipient receives the Money Transfer.
- Payment Instrument means a mode of pushing money through the Account, to the Recipient, which may include the Card, your bank, payment or debit or credit card or other payment information accepted by our payment service providers.
- Payment Instruction means an instruction containing the execution of a Money Transfer, sent to Vban by the Sender.
- Payment Transaction means a payment, transfer or withdrawal of funds initiated by the payer, on behalf of the payer or by the payee, irrespective of the obligations of payer and payee on which the transaction is based.
- Sender means the payer, located in the Sender's Country, who sends the money through the use of the Money Transfer Service.
- Sender's Country means the country from where a Sender initiates the Money Transfer.
- Services/Money Transfer Service means international money transfer services and Account maintenance services provided by Vban to you.
- Service Fee means our fees for the provision of the Services as described on the Platform payable by you to Vban.
- Service Provider means technical partners, international transfer money operators, commercial banks, third party service providers who we work with to provide the Services to you.
User means you or a customer of Vban who is a user of the Platform and has opened an Account with us and/or utilizes our Services.
CONSENT TO USE ELECTRONIC SIGNATURES AND COMMUNICATIONTo the extent permitted by applicable law, you consent to use electronic signatures and to electronically receive all records, notices, statements, communications, and other items for all Services provided to you under these Terms and in connection with your relationship with us (collectively, 'Communications') that we may otherwise be required to send or provide you in paper form (e.g., by mail).
You acknowledge that this Agreement shall be entered into electronically, and that the following categories of information ("Communications") may be provided by electronic means: (i) this Agreement and any amendments, modifications or supplements to it; (ii) your records of transactions through the Service; (iii) any initial, periodic or other disclosures or notices provided in connection with the Service, including without limitation those required by applicable law; (iv) any customer service communications, including without limitation communications with respect to claims of error or unauthorized use of the Services; (v) any other communication related to the Services or Vban.
Communications may be provided to you through the use of autodialed or prerecorded message calls or text messages at the telephone number(s) that you provide us with. We may contact you directly or we may share your phone number with service providers with whom we contract to provide such Communications. Standard telephone minute and text charges may apply. The hardware and software requirements for access to and retention of the Communications associated with the Service include a personal computer or other device which is capable of accessing the Internet; an Internet web Browser; and a printer or other device capable of printing and/or retaining agreements and documents.
By accepting and agreeing to these Terms electronically, you represent that: (i) you have read and understand this consent to use electronic signatures and to receive Communications electronically; and (ii) your consent will remain in effect until you withdraw your consent as specified below.
Your Right to Withdraw Your Consent: Your consent to receive Communications electronically will remain in effect until you withdraw it. you may withdraw your consent to receive further Communications electronically at any time by contacting us at [email protected] If you withdraw your consent to receive Communications electronically, we will close your Vban Account and you will no longer be able to use your Vban Account or the Services, except as expressly provided in these Terms. Any withdrawal of your consent to receive Communications electronically will be effective only after we have a reasonable period of time to process your withdrawal. Please note that withdrawal of your consent to receive Communications electronically will not apply to Communications electronically provided by us to you before the withdrawal of your consent becomes effective.
You Must Keep Your Contact Information Current With Us: In order to ensure that we are able to provide Communications to you electronically, you must notify us of any change in your email address and your mobile number or other text message address by updating your profile on this Platform.
We reserve the right, in our sole discretion, to discontinue the provision of electronic Communications or to terminate or change the terms and conditions on which we provide electronic Communications. Except as otherwise required by applicable law, we will notify you of any such termination or change by updating these Terms on this Platform or delivering notice of such termination or change electronically.
ELIGIBILITY- Registration: In order to use the Services, you must register with us on the Platform, or be authorized by a registered user to use the Services in a manner agreed by us.
- Application Approval: Vban reserves the right to approve or deny your application for an Account or a particular Service. Provisional, limited access may be granted while your application is pending additional review. Vban may deny your application or interrupt provision of the Services.
- Information: When you create an account with us, you must provide us with information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your Account and the Service. Vban also reserves the right to request for further information from you pertaining to you or the creation of your Account at any time. Failure to provide such information within the time required by Vban may result in Vban declining to accept your request or a delay in the creation of your Account.
- Age Requirement: To use Vban's Services, you must be at least 18 years of age. By accessing or using our Services, you represent and warrant that you meet this age requirement.
- Legal Capacity: By using our Services, you further represent and warrant that you have the legal capacity to enter into a binding agreement. If you are using our Services on behalf of a legal entity, you represent that you have the authority to bind such entity to this Agreement.
- Residency and Location: Vban's Services are available to individuals located in the designated African regions (Nigeria, Benin, Burkina Faso, Côte d'Ivoire, Guinea-Bissau, Niger, Senegal and Togo, Cameroon, Chad, Equatorial Guinea, Ghana and Gabon) who wish to receive funds in three FX currencies i.e. Great British Pounds, European Euros and United States Dollars. It is your responsibility to ensure that you are using the Services from an eligible location.
- Prohibited Persons and Entities: You are not eligible to use Vban's Services if you are a person or entity listed on any sanctions list or watchlist maintained by the United States Government, the government of your country or other relevant authorities. Vban reserves the right to conduct regular checks to ensure compliance with this requirement.
- Right to Refuse Service: We reserve the right to refuse or terminate our Services to any individual for any reason at any time. At our sole discretion, we may do so if we have reason to believe that you do not meet the eligibility criteria outlined in this section or if your use of our Services violates any applicable laws, regulations, or the Terms.
- Identity Verification: As part of our compliance with anti-money laundering (AML) and know your customer (KYC) regulations, we may request documentation to verify your identity and the purpose of your transfers. Failure to provide accurate and complete information may result in the suspension or termination of your Account.
By using or accessing the Services, you confirm that you meet the eligibility criteria described above and agree to comply with all terms and conditions outlined in this Agreement. If you do not meet these criteria or do not agree with any part of this Agreement, please do not use our Services.
ACCESSING YOUR ACCOUNTPlease note that you can open and have more than one Account. Your Account(s) and funds contained in it are managed and used in accordance with your individual instructions, except in cases where we have the right to perform actions without your separate instruction and consent, this includes: to debit funds from your Account that are erroneously credited to the Account; to debit funds from your Account in execution of a court decision or in other cases provided for by law; or to debit from your Account fees for the Services.
Funds held in the Account are electronic money. Upon receipt of the funds transferred for your benefit, we issue electronic money at the nominal value of the funds received (after deduction, if any) and credit it to the Account. Funds on your Account are not treated as a deposit, we do not pay you any interest for holding electronic money in the Account and do not provide any other benefits related to the length of time you hold your electronic money.
You have the right to withdraw electronic money from the Account at any time, except for cases when the Account and/or provision of our services is blocked (or otherwise restricted) in accordance with procedure established in these Terms and/or legal acts.
CARDSVirtual and/or physical payment Cards may be offered via this Platform. The Cards are not issued or created by us, and we make no express or implied warranties or conditions, including warranties or conditions of merchantability or fitness for a particular purpose, on the Cards.
In order to receive a Card, you must have an Account and submit an application for the issuance of the Card. When making such a request, you must select the type of the Card (if we provide an option) and provide all the data required by us. Each request by you for a Card shall constitute an unconditional and irrevocable instruction and authorisation (the "Request") from you to the Issuing Bank for the creation and issuance of a Card in accordance with the details supplied by you at the time of the Request.
By creating and issuing a Card, we make no representation whatsoever that such Card will be accepted by a Merchant. Any Request that we or the Issuing Bank believe may violate these Terms or any applicable law, may be refused. You agree to comply with all applicable law and Payment Scheme guidelines governing the Cards. Transaction limits are usually applicable to the Cards and you agree that you shall not directly or indirectly take any action to circumvent such transaction limits.
You are responsible for all transactions initiated as well as fees and charges incurred by the use of your Cards. If you permit another person to have access to information relating to your Card, it will be deemed that you have authorised such use and you will be liable for all transactions and fees and charges incurred by those persons relating to use of the Cards. You shall be solely responsible if a Card that you purchased on this Platform is lost, stolen, destroyed, or used without your permission. You are wholly responsible for the use of each Card according to these Terms.
We have the right to close your Vban Account and bill alternative forms of payment, if we are notified that fraudulently obtained Cards are used by you for transactions. The Card is issued to you to be used for lawful transactions. The validity of the Card will remain until either your card expires, you cancel it or your Vban Account is closed or terminated. You cannot use the Cards in any way beyond their intended purpose.
You do not have the right to stop payment on any purchase or Payment Transaction performed with a Card; the election to stop such payments will be at the discretion of the Issuing Bank, regulatory authority and/or us, and you will have no claim against us in relation thereto.
You should obtain a receipt from any Merchant at the time you perform a transaction with your Card. You agree to retain, verify, and reconcile your transactions and receipts. We are not responsible for the delivery, quality, safety, legality or any other aspects of goods or services that you purchase from others with a Card. All such disputes must be addressed to and dealt with directly with the Merchant from whom those goods or services were procured.
Please note that a Card will not be issued if you owe us or there are not enough funds in the Account to process the issuance of the Card. In addition, we may refuse to issue the payment Card for any other reason. Applicable fees will be charged for your Card creation and transactions. These fees may be removed, increased, or decreased from time to time by Vban. A fee of $0.5 will be charged for every denial visa request (when you attempt to use your payment Card without an available balance). The payment Card will be terminated if repeatedly declined due to insufficient funds. If you want to cancel the Card service at any time, please contact us at [email protected] .
AUTHORISATION OF PAYMENT TRANSACTIONYour consent to execute the Payment Transaction by the Card is given (the Payment Transaction is authorised) when:
- you enter the Card's PIN code;
- when making payments online at e-commerce and service points, you enter the Card's details (e.g. first name, surname, number, term of validity, CVC2/CVV2 code);
- by concluding an agreement with seller of goods and services at the physical or electronic points of sale of goods and services, you agree to initiate the Payment Transaction by providing the Card's details to such person (e.g. first name, surname, number, term of validity, CVC2/CVV2 code);
- you provide the Card's details (e.g. first name, surname, number, term of validity, CVC2/CVV2 code) to seller of goods and services at the physical or electronic points of sale of goods and services;
- in case of using e-wallet (if it is technically possible to link the Card to electronic wallet "Samsung Pay", "Google Pay", "Apple Pay" or another system installed on a mobile device), the security measures implemented in your mobile device, which may include use of the Biometric Security Measures (e.g. fingerprint, facial features), are used.
If the requisite authorisation has been given, the Payment Transaction shall be performed:
- by reserving funds in the Account linked with the Card and subsequently, on receipt of confirmation from the payee, debiting the Account with the amount. We shall cancel the reservation if we do not receive the confirmation within 5 (five) days.
- by debiting the Account linked with the Card on receipt of confirmation from the payee, without reservation. In such case, settlement may take place immediately after your authorization or later.
You may not cancel the Payment Transaction if it is confirmed (authorised) in accordance with the procedure above. You may cancel only the Payment Transaction that is due to be executed in future (e.g. service fee payable on a monthly basis). In order to cancel such transaction, you must inform the seller of goods or services about the planned cancellation within the time limit specified by such person and, if necessary, notify us as well. We do not accept any responsibility for cancellation of such transactions.
By authorising the Payment Transaction made by the Card, you assume all the consequences arising from such action. Therefore:
- always, before giving your consent to execution of the Payment Transaction, check the details of the Payment Transaction and make sure that these details correspond to your agreement with seller of goods or services;
- always authorise transactions personally, and in the case if the Card details are read physically, make sure that this is done in your presence;
- keep a document evidencing the fact of execution of the Payment Transaction (e.g. check, payment receipt).
If the balance of the Account linked to the Card becomes negative, you must cover it. In our sole discretion, we may refuse to execute a Payment Transaction by the payment Card in some cases. If you notice that an unauthorized Payment Transaction has been executed, you may contact us using the contacts indicated on the Platform to block your Card.
FOREIGN EXCHANGE FLUCTUATIONExchange rates fluctuate constantly and thereby give rise to risk and uncertainty. We will publish the applicable exchange rates at which we settle transactions. You agree that your transactions on the Platform shall be effected and settled at the prevailing market rate in freely convertible currency on the date of transaction. For the avoidance of doubt, this means that at certain times, the exchange rate at which you make deposits will not be exchange rates at which your withdrawals will be settled.
Without prejudice to the foregoing, you agree that you will not trade, hedge or participate in any foreign exchange related activity that will impair the delivery of our Services or interfere with the use of our Services by other persons.
PAYING FOR THE SERVICES- With each Payment Transaction you submit you are agreeing to pay us a service fee ("Service Fee"), in addition to the transaction amount. Payment in US dollars is due at the time the transaction is submitted for processing. If you submit a transaction that results in us being charged NSF fees, chargeback fees, or other similar costs, you agree to reimburse Vban for all such fees.
- In order for us to process your transaction, you authorize us to charge any of the Payment Instruments included in your payment profile or other payment information accepted by our payment service providers. Each User warrants to provide complete and accurate payment information. If your payment fails, you authorize us to re-try one or more times using the same Payment Instrument. You warrant that you are an authorized and lawful user of the Payment Instrument.
- We are not responsible for fees that may be imposed by financial institutions associated with your Payment Instruments. For example, debit card issuers may impose additional fees for the transaction. We are not responsible for any NSF fees, chargeback fees, or other, similar charges that might be imposed on you by your bank, credit card issuer, or other provider.
- We reserve the right to change or review fees for the Services at any time in the future. You agree that you shall pay all applicable fees, commissions, and/or charges for using the Services as and when due.
- The Services allow users to send, receive, and request money from people. As a User, the Services may allow you to receive funds from a Sender.
- By receiving a Money Transfer from a Sender via the Services, you authorize us and the applicable bank or partner financial institutions to debit the amount you specify and applicable charges from your Account on this Platform, bank account, or other payment instrument registered with us.
- Withdrawals from Vban shall be made through any of the stipulated payment gateways provided on the Platform. Vban shall use the payment methods you provide, and payments shall be processed in the applicable currency. In order to manage operational risk and ensure the security of your funds, we may apply limits on transactions (e.g., settlement, frequency, or amount of cash withdrawals, etc.). The applicable transaction limits are published on the Platform or in any way chosen by us. You agree that you shall be exclusively responsible for providing accurate information on your bank account details for any withdrawal from Vban.
- By receiving a Money Transfer, you expressly agree that we are authorized to charge the relevant fees for your use of the Service, together with any applicable taxes.
- Vban strives to ensure that the payment services are always available but cannot guarantee uninterrupted access or the absence of errors or viruses. Vban shall not be responsible for errors or liabilities resulting from errors made by the payment processor or third parties.
- Vban reserves the right to review transactions and request further details on a transaction. In the event of a review, the funds relevant to the reviewed transaction shall be retained by Vban until the review is completed.
- Where a reviewed transaction fails to meet the requirements for approval, the funds shall be returned to the Sender, net of applicable refund fees.
- If you disagree with any payment transaction, you can submit a complaint to [email protected] within 30 (thirty) days of the payment transaction ("Dispute Period").
- Payments processed by Vban shall include any applicable additional fees, including currency conversion costs, which shall be borne by the User.
- Your use of the Services means that you authorize us to take all actions required for your access to and/or our provision of the Services. You must not attempt to circumvent any restrictions to the Services imposed by any regulatory authority, under applicable law, and/or by us.
- We work with local banks and other third-party outlets (each, a "Service Provider") to make funds available to Recipients. We try to provide current information on our Platform about the location, availability, and hours of our Service Providers. However, we are not responsible for any inaccurate or incomplete information that may be posted on the Platform.
- Payments, Money Transfers, KYC verifications, and other transactions in connection with the Services are currently offered in partnership with our respective partners and Affiliates.
- Tell us AT ONCE if you believe that an electronic fund transfer has been made without your permission using your login information or by other means, or if your Vban-activated mobile phone has been lost, stolen, or deactivated. You could lose all the money in your Account. To protect yourself from unauthorized activity in your Vban Account, you should regularly log into your Account and review your transaction activity. You should review these transactions to ensure that each transaction was authorized and accurately completed.

- Please note that the following are NOT considered unauthorized transactions:
- (i) If you give someone access to your Account (e.g., by giving them your login information) and they use your Account without your knowledge or permission.
- (ii) If you, or someone else with whom you are acting in concert, act with fraudulent intent.
- (iii) If you reverse engineer or charge back a transaction made with your Card.
- General: We may refuse any transaction or limit the amount to be transferred, either on a per-transaction or aggregated basis. We reserve the right at any time to modify or discontinue all or any part of the Services.
- Delays: Your transaction may be delayed by our effort to verify your identity, validate your Payment Instruments, and otherwise comply with laws and regulations or manage our financial risk. You may be entitled to a refund in certain circumstances, and you may cancel your transaction at any time while it is pending.
- Unauthorized Transactions: You may not use the Services in violation of this Agreement, the Terms of Service, the Privacy Policy of our partners, or applicable laws, rules, or regulations. It is a violation of these Terms to use the Services for any activity that violates or assists in the violation of any law, statute, regulation, or sanction, such as:
- Sexually-oriented materials or services
- Gambling activities
- Fraud
- Money laundering
- The funding of terrorist organizations
- The purchase or sale of tobacco, tobacco-related paraphernalia, firearms, prescription drugs, or other controlled substances
- Sending money to a Recipient that is in violation of the above
- No Changes: We generally do not let you change the details of your withdrawal request once it has been submitted to us for processing. It is your responsibility to make sure your transaction details are accurate.
- Restricted Activities: In connection with your use of our Platform or the Services, or in the course of your interactions with Vban, our partners, a User, or a third party, you will not:
- Breach this Agreement, or any other agreement between you and Vban or its partners
- Provide false, inaccurate, or misleading information

- You shall not use the Platform for any purpose that is prohibited by these Terms. You are responsible for all of your activity in connection with the Services. Violation of our rules may result in the termination and cancellation of your Account. You acknowledge and agree that we may terminate an Account at any time for any reason, including but not limited to our independent assessment or the receipt of claims or allegations from third parties or authorities.
- Users shall not utilize the Platform or the Services for any illegal purpose.
- You are solely responsible for compliance with any and all laws, rules, regulations, and tax obligations that may apply to your use of the Services.
- In connection with your use of the Platform, you will not, and will not assist or enable others to:
- Breach or circumvent any applicable laws or regulations, agreements with third parties, third-party rights, or our Terms.
- Use the Platform or any content therein for any commercial or other purposes that are not expressly permitted by these Terms or in a manner that falsely implies endorsement, partnership, or otherwise misleads others as to your affiliation with Vban.
- Copy, store, or otherwise access or use any information, including personally identifiable information about any other User, contained on the Platform in any way that is inconsistent with Vban's Privacy Policy or these Terms, or that otherwise violates the privacy rights of Users or third parties.
- Use, display, mirror, or frame the Platform, or any individual element within the Platform, Vban's name, any trademark, logo, or other proprietary information belonging to Vban, or the layout and design of any page or form contained on a page in the Platform, without Vban's express written consent, or dilute, tarnish, or otherwise harm Vban's brand in any way.
- Use any robots, spiders, crawlers, scrapers, or other automated means or processes to access, collect data, or otherwise interact with the Platform for any purpose.
- Avoid, bypass, remove, deactivate, impair, descramble, or otherwise attempt to circumvent any technological measure implemented by Vban, its providers, or any third party to protect the Platform.
- Attempt to decipher, decompile, disassemble, or reverse-engineer any of the software used to provide the Platform.
- Take any action that damages or adversely affects, or could damage or adversely affect, the performance or proper functioning of the Platform.
- Violate or infringe anyone else's rights or otherwise cause harm to anyone.
- You acknowledge that Vban has no obligation to monitor access to or use of the Platform but has the right to do so in order to:
- Operate, secure, and improve the Platform (including but not limited to fraud prevention, risk assessment, investigation, and customer support purposes).
- Ensure Users' compliance with these Terms.
- Comply with applicable laws or the order or requirement of a court, law enforcement agency, administrative agency, governmental body, or as otherwise set forth in these Terms.
- Users agree to cooperate with and assist Vban in good faith, and to provide Vban with such information and take such actions as may be reasonably requested by Vban with respect to any investigation undertaken by Vban or a representative of Vban regarding the use or abuse of the Platform.
- Error Resolution: Please let us know at any time if you have any problems with the Services or the Platform. You can contact us using the contact information at the bottom of this Agreement. For more information about what is considered an "error" or the error resolution process, please contact us at [email protected] .
- Refunds: You can cancel your transaction at any time prior to its completion (completion means that the Merchant claimed the money you sent). Upon receipt of a cancellation request, we may confirm with our Service Providers to determine whether the transaction has been completed prior to initiating a refund. The Transaction Amount will not be refunded after completion. If the request for a refund is approved, the refund will be credited to the same Payment Instrument used to pay for the transaction.
- Cancellation: We do not accept cancellations of completed transactions. However, we are committed to ensuring a positive experience for our customers. If you encounter any issues with a transaction, please refer to the procedures outlined on the transaction page for reporting and resolving such issues. We encourage our customers to promptly report any concerns or discrepancies in accordance with these procedures to ensure a timely resolution. You agree not to display, use, copy, or modify the Vban Intellectual Property in any manner. you are authorized solely to view and retain a copy of the pages of this Platform for your own personal, non-commercial use. We do not grant you any licences, express or implied, to our intellectual property or the intellectual property of our licensors, except as expressly stated in these Terms. You further agree not to: (i) use any robot, spider, scraper or other automated device to access the Services; (ii) remove or alter any author, trademark or other proprietary notice or legend displayed on this Platform (or printed pages thereof); or (iii) infringe Vban's or any third party's copyright, patent, trademark, trade secret or other intellectual property rights, or rights of publicity or privacy.
ERROR RESOLUTION, CANCELLATIONS AND REFUNDSTO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW AND EXCEPT AS OTHERWISE EXPRESSLY PROVIDED IN THESE TERMS, YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICES AND ALL INFORMATION, PRODUCTS, AND OTHER CONTENT (INCLUDING THAT OF THIRD PARTIES) INCLUDED IN OR ACCESSIBLE FROM THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR THIRD-PARTY SERVICE PROVIDERS EXPRESSLY DISCLAIM ANY AND ALL CONDITIONS, REPRESENTATIONS, AND WARRANTIES OF ANY KIND AS TO THE SERVICES AND ALL INFORMATION, PRODUCTS, AND OTHER CONTENT (INCLUDING THAT OF THIRD PARTIES) INCLUDED IN OR ACCESSIBLE FROM THE SERVICES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTY OF THIS WEBSITE'S MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, WE AND OUR THIRD-PARTY SERVICE PROVIDERS MAKE NO WARRANTY THAT (I) THE SERVICES WILL MEET YOUR REQUIREMENTS, (II) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS, OR (V) ANY ERRORS IN THE SERVICES WILL BE CORRECTED. NO ORAL OR WRITTEN INFORMATION OR ADVICE OBTAINED BY YOU FROM US OR OUR THIRD-PARTY SERVICE PROVIDERS THROUGH OR FROM THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
WE WILL MAKE REASONABLE EFFORTS TO ENSURE THAT TRANSACTIONS ARE PROCESSED IN A TIMELY MANNER, BUT WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE TIME NEEDED TO COMPLETE PROCESSING BECAUSE THE PROVISION OF THE SERVICES ARE DEPENDENT ON MANY FACTORS OUTSIDE OUR CONTROL. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THE FOREGOING DISCLAIMER MAY NOT APPLY TO YOU. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS AND YOU MAY ALSO HAVE OTHER LEGAL RIGHTS THAT VARY STATE TO STATE. IN ANY EVENT, YOU MAY HAVE A RIGHT TO A REFUND AS EXPRESSLY DESCRIBED HEREIN.
INDEMNITYYou agree to indemnify and hold harmless Vban, its officers, directors, employees, agents, and affiliates from any claims, losses, liabilities, damages, costs, or expenses (including attorneys' fees) arising out of or related to your use of our Services, your violation of this Agreement, or your violation of any applicable laws or regulations.
LIMITATION OF LIABILITY- To the fullest extent permitted by applicable laws, you agree that Vban, its Affiliates and their respective officers, directors, employees, agents, and third-party service providers shall not, under any circumstances, be liable to you or any third party for (i) the performance of the Services or the inability to use the Services; (ii) any event beyond our reasonable control; and (iii) any indirect, consequential, special, incidental, exemplary or punitive damages, whether based in contract, tort or otherwise, or any damages for loss of profits, revenue, data, use, goodwill or other intangible losses (even if such users or persons have been advised of the possibility of such damages) arising out of or related to the use of our Services. This includes, but is not limited to, damages resulting from:
- Delays, interruptions, or errors in the receipt or transmission of funds.
- Inability to complete a transaction because of inaccurate or insufficient payment instructions.
- Failure of a Merchant or bank to claim the payment.
- Unauthorized access to or use of your Account.
- Inaccuracies or discrepancies in exchange rates.
- Any actions taken by Vban in accordance with legal or regulatory requirements.
- To the fullest extent permitted by applicable laws, our liability to you for actions or inactions directly traceable to us, whether in contract, negligence, and other tort, or by way of indemnity or otherwise arising out of or in connection with this Agreement shall be subject to the following financial limits: (i) In no event shall Vban be liable to you in excess of any amount that has accrued to us from transactions emanating by virtue of the Services in the month immediately preceding the date the first such claim arises; and (ii) no liability shall be raised against us more than 1 (one) year after the accrual of the cause of such liability.
- No Liability for Third-Party Actions: Vban is not responsible for the acts, omissions, or conduct of any third parties, including banks, financial institutions, or other intermediaries involved in the transfer process. We do not guarantee the performance or quality of services provided by such third parties.
In the event of a breach of these Terms, or a reasonable suspicion that you have breached these Terms in any way, Vban may:
- temporarily suspend your access to our Services;
- permanently prohibit you from accessing our Services;
- block computers using your IP address from accessing our Services;
- contact any or all of your internet service providers and request that they block your access to our Services;
- suspend or delete your Account; and/or
- commence legal action against you, whether for breach of contract or otherwise.
Termination, Restriction or Suspension of your Account
We reserve the right to terminate, suspend and/or restrict your Account or your use our Services where:
- We reasonably believe that any transactions or activities on your Account are suspicious;
- You are creating problems or possible legal liabilities for us, other users, or other third parties;
- We reasonably believe that such restrictions will improve the security of Vban or reduce our or another user's exposure to financial liabilities;
- We reasonably believe that you are infringing the rights of third parties;
- We reasonably believe that you are acting inconsistently with these Terms or our policies or abuse users and other third parties;
- Despite our reasonable endeavours, we are unable to verify or authenticate any information you provide to us;
- You fail to make, or it is evident that you are unable to make, full payment of any fees due for our Services by your payment due date; or
- We deem it fit for any reason and at any time, in our interest and that of other third parties.
Where we suspend, prohibit or block your access to our Services you must not take any action to circumvent such suspension or prohibition or blocking (including without limitation creating and/or using a different account).
To the extent permitted by applicable law, we may terminate (or suspend access to) your use of our Services for any reason.
DELETION OF ACCOUNT- You may request the deletion of your Account with us. You can do so by contacting us at [email protected]
- Upon receipt, we will process your request. This should generally take two (2) business days. Once your account is deleted, all your information pertaining to your identification, your transactions, etc., will also be deleted to the extent permissible by applicable laws and regulations. Upon the completion of your request, we will not be able to supply any of your information, including but not limited to, information regarding your KYC, transactions initiated by you, transaction receipts, etc., even upon your request. Hence, please ensure that you have obtained necessary backup of all such information before you place a request for deletion of your Account.
- Irrespective of your request, in order to adhere with applicable laws and regulations regarding record keeping, we will continue to maintain all information pertaining to your Account in our archive; utilization of which shall be governed by our Privacy Policy. Additionally, in order to avoid any issues in the transactions you have created on the Platform, your Account will be transferred to archive after 90 days.
- Despite your Account being deleted, we may contact you for redressal and/or recovery in case we encounter any issue with any transaction created by you on the Platform.
- The deletion of your Account will not affect any of our rights or your obligations arising under these Terms prior to termination.
- Provisions of these Terms that, by their nature, should survive termination of these Terms will survive termination of these Terms.
These Terms shall be governed and construed in accordance with the laws of England, without regard to its conflict of law principles.
DISPUTE RESOLUTIONWe shall make an effort to settle all disputes amicably. Any controversy, claim or dispute arising out of or relating to this Agreement or the breach thereof shall be referred to and finally resolved by arbitration in accordance with the rules of the London Court of International Arbitration (LCIA), which rules are deemed to be incorporated by reference into this clause. The number of arbitrators shall be one, and the Arbitrator shall have experience in the area of dispute. The proceedings shall be in the English Language and the venue shall be London. The decision of the Arbitrator shall be final. The Parties hereby waive their right to any form of recourse against an award to any court or other competent authority, insofar as such waiver can validly be made under the applicable law.
MISCELLANEOUS- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vban and govern your use of the Service, superseding any prior understandings, arrangements, or agreements, whether written or oral, regarding the Services. However, when you accept the Terms of Service and Privacy Policy of our partners after sign-up, the provisions of that Terms of Service and Privacy Policy shall supersede this Agreement in case of any conflict in relation to the services provided to Vban by such partner.
- No Waiver: The failure of you or Vban to exercise or enforce any right or provision of the Agreement shall not constitute a waiver of such right or provision. Specifically, you agree that if we do not exercise or enforce any legal right or remedy which is contained in these Terms, this will not be taken to be a formal waiver of our rights and that those rights or remedies will still be available to us.
- Force Majeure: We shall not be liable for any failure or delay in the performance of the Services to the extent such failure or delay is caused by matters beyond our reasonable control, including, without limitation: an act of God; epidemic; pandemic; changes in applicable laws; closure or unavailability of required physical and network infrastructure; sovereign default; power or internet failure; civil unrest; war; and earthquake, fire, flood, or other natural disasters.
- Assignment: You may not transfer, assign, or delegate these Terms or your rights or obligations hereunder or your Account in any way (by operation of law or otherwise) without our prior written consent. To the extent permitted by applicable law, we may transfer, assign, or delegate these Terms and our rights and obligations hereunder without your consent.
- Modification: We reserve the right to modify, amend, revise, or update this Agreement at any time, in our sole discretion, without providing notice to you, subject to applicable law. You can review the most current version of the Agreement at any time by reviewing this Platform. You may terminate your use of the Service if you do not agree with any modification or amendment. If you use the Service after the effective date of an amendment or modification, you shall be deemed to have accepted that amendment or modification. You agree that you shall not modify this Agreement and acknowledge that any attempts by you to modify this Agreement shall be void.
- Severability: In the event that any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall be deemed to be severed from these Terms but shall not affect the validity and enforceability of the other remaining provisions.
- Other Terms: This Agreement may be supplemented by terms applicable to other promotions, our Referral Program, and other terms applicable to you based upon your use of the Service. These terms are incorporated into this Agreement by reference. To the extent that any of these terms are determined to be in conflict with this Agreement, this Agreement shall prevail.
- Your security is very important to Vban, and we use a variety of security measures to make sure that your information is secure. We urge you to think carefully before sending money to anyone that you do not know. In particular, you should be cautious of deals or offers that seem too good to be true.
